    PUBLIC OFFER for the conclusion of a retail sale and purchase agreement

    Individual Entrepreneur Martirosyan Vashik Agasievich (Russian TIN 771573239771, OGRNIP 306770000570551), hereinafter referred to as the «Seller», addresses this public offer to any legally capable individual or legal entity, hereinafter referred to as the «Buyer», on the terms set forth below.

    1. General Provisions

    1.1. This document constitutes a public offer in accordance with Article 437 of the Civil Code of the Russian Federation. The retail sale and purchase agreement between the Seller and the Buyer is deemed concluded from the moment of the Buyer's acceptance of this Offer.

    1.2. Terms used in this Offer:

    • «Website» — the Internet site https://stargift.ru, including all its subdomains and language versions.
    • «Product» — works of art, collectibles, gifts with celebrity autographs, corporate gift sets, gift certificates and other goods sold by the Seller via the Website and the Galleries.
    • «Order» — a request placed by the Buyer to purchase a Product, indicating its name, quantity, method of payment and delivery.
    • «Acceptance» — the Buyer's full and unconditional consent to the terms of this Offer, expressed by placing an Order via any of the available channels.
    • «Gallery» — a physical showroom of the Seller, the list of which is set out in Section 5 of this Offer.

    1.3. Acceptance of the Offer is made by the Buyer by placing an Order via the Website, in a Gallery, by phone at +7 495 233 5111, by email at info@stargift.ru, or via messengers (WhatsApp, Telegram).

    1.4. The Seller is entitled to unilaterally amend the terms of this Offer. The version in force is published at https://stargift.ru/oferta/. The version of the Offer in force at the time of placing the Order applies to the relations between the Parties.

    1.5. In all matters not regulated by this Offer, the Parties shall be governed by the legislation of the Russian Federation, including the Civil Code of the Russian Federation and the Law of the Russian Federation «On the Protection of Consumer Rights» No. 2300-1 dated 07.02.1992.

    2. Subject of the Agreement

    2.1. The Seller undertakes to transfer the Product presented in the Website catalogue or directly in the Galleries to the Buyer's ownership, and the Buyer undertakes to accept and pay for the Product on the terms of this Offer.

    2.2. The types of Product are:

    • Works of art and collectibles (paintings, sculptures, graphics, photographs).
    • Gifts with celebrity autographs (athletes, musicians, actors, political figures and other public persons).
    • Corporate gift sets.
    • Seller's gift certificates.
    • Art objects made to the Buyer's individual order (personalised certificates, engravings, frames, custom presentation).

    2.3. Most Products are sold in a single copy. The image of the Product on the Website is illustrative and may differ slightly from the actual appearance of the Product in colour and shade due to the peculiarities of monitor colour reproduction and shooting conditions.

    2.4. A full description of the properties of the Product, including its history, condition and any restoration work performed, is placed on the Product page on the Website or provided to the Buyer upon request prior to the placing of the Order.

    3. Placing an Order

    3.1. The Buyer places an Order via the Website cart, by contacting a Gallery manager, by phone or via messenger. When placing an Order on the Website, the Buyer indicates: surname and first name, contact phone number, email address and delivery address (if required).

    3.2. The Buyer is responsible for the accuracy and completeness of the data provided. The Seller shall not be liable for the inability to fulfil the Order due to the Buyer providing inaccurate or incomplete data.

    3.3. From the moment the Order is placed, the Goods are reserved for the Buyer for a period of 3 (three) business days without an obligation to pay. During periods of increased demand (the pre-New Year season, public holidays, and other periods announced by the Seller) the reservation period without payment is shortened to 1 (one) calendar day. In individual cases the reservation period is agreed individually between the Buyer and the Seller's manager. After the reservation period expires without payment, the Seller has the right to lift the reservation and offer the Goods to other customers.

    3.4. The Seller's manager contacts the Buyer to confirm the Order and agree on the method of payment, delivery and other material terms.

    3.5. Transactions with legal entities (B2B) may be concluded under a separate supply agreement. The Seller issues an invoice for non-cash settlement regardless of the Order amount. This Offer applies to B2B transactions only when they are fully placed and paid for online.

    4. Price and Payment

    4.1. The price of the Product is shown in the Website catalogue in Russian rubles. VAT is not allocated, as the Seller applies the simplified taxation system.

    4.2. The Seller is entitled to unilaterally change the prices of Products until the Order is placed. The price specified in the Order confirmed by the Seller is not subject to change.

    4.3. Payment methods:

    • Cashless payment by bank card or via the Faster Payments System (SBP) through the YooKassa payment service.
    • Cash upon receipt of the Product (for Seller's courier delivery in Moscow or pickup from a Gallery).
    • Cashless settlement by invoice — for legal entities and individual entrepreneurs.

    4.4. The moment of payment is the moment the funds are credited to the Seller's settlement account or the moment the Seller receives the cash.

    4.5. When paying via YooKassa and in cash, the Buyer is provided with a cash receipt in accordance with Federal Law No. 54-FZ dated 22.05.2003.

    5. Delivery and Transfer of the Product

    5.1. Delivery within Moscow and the Moscow Region is carried out by the Seller's courier service. The cost of delivery is calculated when placing the Order based on the delivery address and the cost of the Product.

    5.2. Delivery across the Russian Federation is carried out by the transport companies CDEK and Russian Post. The cost and delivery time are calculated individually when placing the Order.

    5.3. International delivery is carried out by agreement with the Seller. The cost, terms and customs clearance procedure are agreed separately.

    5.4. The Buyer is entitled to receive the Product by pickup from one of the Seller's Galleries:

    • Vremena Goda Gallery — Moscow, Kutuzovsky Prospekt, 48 (Vremena Goda Mall).
    • Gimeney Gallery — Moscow, Bolshaya Yakimanka Street, 22 (Gimeney Mall).
    • Dream House Gallery — Moscow Region, Barvikha, 85/1 (Dream House Mall).

    5.5. The risk of accidental loss or damage to the Product passes from the Seller to the Buyer at the moment the Product is handed over to the Buyer or the person designated by the Buyer (including the courier service).

    5.6. Upon receipt of the Product, the Buyer is obliged to inspect the Product for compliance with the Order, integrity of packaging and absence of damage. Signing acceptance documents without remarks confirms the absence of obvious defects.

    6. Authenticity Guarantees

    6.1. The Seller guarantees the authenticity of all Products sold. Each Product is accompanied by a certificate of authenticity issued by the Seller.

    6.2. The authenticity of celebrity autographs is confirmed by a Stargift certificate of authenticity indicating the circumstances of obtaining the autograph and, where available, by other provenance documents (photographs of the signing moment, documents of previous owners, expert opinions).

    6.3. For works of art, the certificate contains a description of the condition, the history of the Product (provenance), as well as information on any restoration and conservation work performed.

    6.4. Information about restoration, conservation and other interventions in the original appearance of the Product is disclosed by the Seller in the Product description. Concealment of such information is not permitted.

    6.5. The certificate of authenticity is an integral part of the Product. In case of loss of the certificate, a duplicate is not issued; re-issue is possible upon the Buyer's request in the manner established by the Seller.

    7. Return conditions

    7.1. Returns are governed by the Russian Federation Law «On Protection of Consumer Rights» No. 2300-1 dated 07.02.1992.

    7.2. Return of goods of proper quality: the Buyer has the right to return the goods within 14 (fourteen) days from the date of purchase (not counting the day of purchase), provided that the goods retain their marketable appearance, consumer properties, original packaging and certificate of authenticity.

    7.3. Return of goods of improper quality: if defects or discrepancies with the description are discovered after purchase, the Buyer has the right to demand replacement, a proportional price reduction, or a full refund in accordance with Article 18 of the Law «On Protection of Consumer Rights».

    7.4. Return of individually-determined items (works of art, autographed gifts and other unique Goods) is carried out by agreement with the Seller, provided that the marketable appearance, packaging and certificate of authenticity of the Goods are preserved.

    7.5. Goods made to the Buyer's individual order (personalised certificates, engravings, frames, custom finishing) are not subject to return or exchange, except in cases of defects (faulty goods) for which the Seller is responsible.

    7.6. Refunds are issued by the same method used for payment, within 10 (ten) business days of the Seller receiving the returned Goods and the Buyer's application. The Buyer bears the cost of returning Goods of proper quality; the Seller bears the cost of returning Goods of improper quality.

    8. Liability of the Parties

    8.1. For non-performance or improper performance of obligations under this Offer, the Parties shall be liable in accordance with the legislation of the Russian Federation.

    8.2. The Seller shall not be liable for the inability to fulfil the Order due to the Buyer providing inaccurate data, nor for the actions of third parties (courier services, payment systems, telecommunications operators), provided that the Seller exercised reasonable care in selecting them.

    8.3. The Buyer is responsible for the accuracy and completeness of the information provided when placing the Order, including the delivery address and contact details.

    8.4. The amount of the Seller's liability to the Buyer is limited to the value of the Product in respect of which the breach was committed, unless otherwise expressly provided by law.

    9. Force Majeure

    9.1. The Parties shall be released from liability for partial or complete failure to perform obligations under this Offer if it was the result of force majeure circumstances that arose after the acceptance of the Offer and were beyond the control of the Parties.

    9.2. Such circumstances include, in particular: natural disasters, military actions, terrorist acts, acts of state authorities, epidemics, strikes, cessation of work of transport companies and payment systems.

    9.3. The Party for which it has become impossible to perform obligations shall, within a reasonable period, notify the other Party of the occurrence and termination of such circumstances.

    10. Confidentiality and Personal Data

    10.1. The processing of the Buyer's personal data is carried out by the Seller in accordance with the Privacy Policy posted at https://stargift.ru/privacy/.

    10.2. By accepting this Offer, the Buyer confirms that he is familiar with the Privacy Policy and consents to the processing of his personal data for the purpose of performing this agreement.

    10.3. The Seller undertakes not to disclose the Buyer's personal data to third parties, except in cases provided for by the legislation of the Russian Federation or necessary for the performance of the Order (transfer of data to a courier service, payment system).

    11. Dispute Resolution

    11.1. All disputes and disagreements arising in connection with the performance of this Offer shall be resolved by the Parties through negotiations. A claim shall be submitted in writing, accompanied by documents substantiating the stated requirements.

    11.2. The period for responding to a claim is 10 (ten) business days from the moment of its receipt.

    11.3. If no agreement is reached through negotiations, the dispute shall be considered by the court at the location of the Seller (Moscow), unless otherwise provided by the legislation of the Russian Federation.
